Property: Seller agrees to sell and convey to purchaser by special warranty deed, herein after defined, all of seller’s right title and interest in and to certain real properties set forth.

Title Evidence: Seller agrees to furnish to purchaser a final title commitment issued by Cornerstone Title Services LLC. Office: 859-278-4588 (Stacey Penman), with respect to fee simple title to the property. Seller will pay for said title policy. The Commitment shall provide for the issuance of an ALTA owners policy.

Prorations and Closing Costs: Purchaser will pay up to $500 towards the full amount of the title company’s closing and escrow fees. Purchaser shall pay all recording costs and fees and all other closing costs normally charged to the sellers according to the prevailing customs in the county in which the property is located. All ad valorem taxes and the installments of special assessments due in the year of “closing” (hereafter defined) shall be adjusted and prorated as of the closing date. Taxes shall be prorated for the tax year in which the closing occurs on the basis of taxes levied or expected to be levied, or if the taxes forth year of the closing are not known, as of the closing date, then such taxes shall be prorated using the most recent assessed value of the property and the mill levy for the preceding year.

Utilities: Any utilities, including but not limited to electricity, gas, and water to the property which are paid by the owners of the property, shall be transferred from the name of the current owners to the purchaser immediately following closing and seller shall no liability for the payment of any utilities.

Closing: It is understood and agreed between the parties hereto that time is of the essence of this agreement and that this transaction shall be consummated and closed (herein the “Closing”) at the title company, within 10 days of the accepted bid.

Possession: Exclusive possession of the property is to be given to purchaser on the closing date, subject only to the tenancy under, and terms and provisions of oral and signed leases in effect as of the date of Closing.

The seller offers the property for sale in “as is condition at the time of sale or closing, including any hidden defects of any nature known or unknown, with no representations, warranties or guarantees whatsoever, express or implied, regarding their nature, value, source, authenticity, fitness, merchantability, and/or any other aspect or characteristic of the property. No statement anywhere, whether express or implied, shall be deemed a warranty or representation by the seller regarding the property. All sales are with the understanding that the buyer cannot rely on any other representation, warranty, or guaranty made by anyone.

General refund policy: Buyer acknowledges and verifies that he/she has carried out the necessary due diligence to purchase, as properties are sold, “as is”. As such, all sales are final and refunds will not be granted.
